Summary

Join as a Corporate Counsel supporting corporate governance, entity management, and legal approvals across a complex, multi?jurisdictional structure. This role serves as a primary in?house legal partner for governance documentation, delegation of authority, and transaction support, ensuring records are accurate, audit?ready, and aligned with business and compliance requirements. You will work closely with legal, business, and operational teams to enable efficient execution while maintaining disciplined risk controls.

Key Responsibilities

  • Manage and maintain legal entities across multiple jurisdictions, including formations, qualifications, amendments, dissolutions, registered agents, and annual filings
  • Prepare and coordinate board and committee materials, including agendas, minutes, resolutions, consents, and officer appointments
  • Own and maintain corporate minute books and governance records to ensure audit readiness and regulatory compliance
  • Draft, review, and manage corporate approvals and internal authorizations for business actions
  • Serve as legal owner of delegation of authority and signature governance, including approval thresholds, execution rules, and escalation guidance
  • Support governance aspects of strategic initiatives and transactions, including restructurings, capital events, joint ventures, and M&A
  • Coordinate corporate diligence, filings, and closing deliverables for transactions and audits
  • Partner with Legal Operations and IT on records retention and legal hold processes for corporate records
  • Coordinate and manage outside counsel for governance and transaction support with scope and cost discipline
  • Drive continuous improvement of governance workflows, templates, and documentation standards
  • Support special projects and other legal initiatives as assigned

Required Qualifications

  • Juris Doctor (JD) from an accredited law school
  • Active license to practice law in at least one U.S. jurisdiction, in good standing
  • 6+ years of corporate and/or in?house legal experience
  • Strong experience with entity management, corporate approvals, and governance documentation
  • Experience supporting governance aspects of transactions and coordinating diligence and records production
  • Excellent drafting, organizational, and attention?to?detail skills
  • Ability to manage multiple workstreams in a fast?paced, cross?functional environment
  • Strong communication skills with a practical, business?focused approach

Preferred Qualifications

  • Experience supporting restructurings, capital events, joint ventures, or M&A transactions
  • Familiarity with delegation of authority frameworks and audit readiness standards
  • Experience partnering with Legal Operations and IT on records retention and compliance initiatives
